Terms of use
These terms govern your use of Tracklign, a plugin for Adobe Premiere Pro ("the Software"), provided by Vitalii Filipov, individual entrepreneur (FOP), Ukraine ("we", "us"). By installing or using the Software you agree to them.
1. Licence
We grant you a non-exclusive, non-transferable licence to use the Software. During the free trial (7 days from first launch on a computer) you may use all features for evaluation. With an active subscription you may use the Software on up to 2 computers at a time. Licence keys are personal: do not share or publish them.
2. Subscriptions and payment
Subscriptions are sold by our reseller Paddle.com, the Merchant of Record for all orders. Paddle handles payment, taxes, invoices, renewals and refunds under its own buyer terms. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel anytime from the customer portal (in the Software: Settings › Licence › Manage subscription); the licence then remains active until the end of the paid period.
3. Offline use and licence checks
The Software checks the licence with our server when activated and periodically afterwards. If it cannot reach the server it keeps working for up to 14 days since the last successful check.
4. Restrictions
You may not resell, rent or sublicense the Software, circumvent its licence checks, or reverse engineer it except where applicable law expressly permits this.
5. Third-party components
The Software includes FFmpeg libraries under the GNU LGPL v2.1 or later and is derived from Syncitol (MIT licence). Their licences are included with the Software (THIRD_PARTY_NOTICES.txt and the LICENSES folder) and apply to those components.
6. Your media
The Software analyses audio locally on your computer. It does not upload your media, and it never modifies your original files; it creates new sequences in your project. Keep backups of your projects as usual.
7. Warranty and liability
The Software is provided "as is". Automatic synchronisation can be imperfect; check the results before delivering work. To the extent permitted by law we are not liable for indirect or consequential damages, and our total liability is limited to the amount you paid for the Software in the twelve months before the claim. Nothing in these terms limits rights you have as a consumer under mandatory law.
8. Termination
The licence ends if your subscription ends or if you breach these terms. You may stop using the Software at any time.
9. Changes and law
We may update these terms; the date above shows the latest version. These terms are governed by the laws of Ukraine, without prejudice to mandatory consumer protection rules of your country of residence.
